Our history

Fidis S.p.A. was set up in 1982 as SICI FINANZIAMENTI S.p.A. to support lending for the sale of goods.  Over the years the company has changed the nature of its financial services to meet the needs of its customers, on occasion changing the company name until taking on, in 1996, the name of Fidis S.p.A. 
During 2016 Fidis S.p.A. decided to concentrate its offer of financial services, which is mainly factoring, on companies of the Group it belongs to (Stellantis as from January 2021) and the related manufacturing and distribution chain. Fidis S.p.A. belongs to the association of national factors, Assifact, and in terms of volumes managed is one of the main players in Italy.

The board of directors

The Board of Directors was appointed by the resolution of 25 March 2024 and consists of three directors who serve for three years.

Philippe de Rovira
President

Philippe de Rovira was appointed Chief Affiliates Officer for Sales Finance, Used Cars, Parts and Service and Retail Network and a member of Stellantis’ Top Executive Team in January 2021.
He joined Groupe PSA in 1998, holding various positions in Corporate & Manufacturing Finance before acting as Financial Controller in the Madrid and Poissy plants. 
In 2009, he became the Chief Financial Officer for Latin America and in 2012 Controller of the PSA Sales Division. Then he was appointed Senior Vice President, taking responsibility for various functions of the PSA Sales division and in 2015 he was appointed Group Controller. 
In 2017, after the acquisition by Groupe PSA, he joined Opel Vauxhall as Chief Financial Officer and became a member of the Opel Vauxhall Managing Board.
In 2018, he was appointed Group Chief Financial Officer as an Executive Vice President within the Group and a member of the Global Executive Committee. From 2018, he was also in charge of the Used Cars Business Unit. 
Philippe de Rovira is a graduate of the ESSEC Business School based in Paris.

General Manager

Andrea Faina has been Chief Executive Officer of Fidis S.p.A. since November 2013 and, in the Affiliates area of Stellantis, is currently responsible for Financial Services Other Areas (China, IAP, MEA, NA & Factoring). In addition, he is a member of the Board of Directors of Leasys SAS, as well as of other bodies in the Stellantis financial services sector, and starting from 2023 he is member of the Board of Directors of Assifact, the association of the Italian Factoring companies.
He started his career in 1988 in Banca Commerciale Italiana in London, to then join Fiat Geva S.p.A. in 1989.
From 1992 to 1997 he was Head of Financial Coordination and Treasury in Fiat S.p.A.- I.H.F. in Lugano (Switzerland) and, after a short experience in Fiat Iberica SA in Madrid as Head of the Finance Department, he became General Manager of Fiat Finance and Trade Ltd in London.
From 2001 to 2006 he held the positions of Financial Coordination Manager in Fiat Geva S.p.A. and then Head of Structured Finance in Fiat Finance S.p.A.; in 2007 he was appointed Treasurer of Fiat Group Automobiles.
In 2013 he became Head of Group Financial Services for the FCA group.
He was born in Forlì (Italy) in 1962 and graduated in Economics and Business at Turin University.

Director

​Ferrante Zileri Dal Verme is Group Treasurer at Stellantis, reporting directly to the Chief Financial Officer. 

He started his career in 1988 at Fiat S.p.A., initially as Head of the Loan Negotiations Area and then as Financial Analysis, Control and Planning Manager.
After a period from 1996 to 2001 at Fiat Argentina as Finance & Treasury Manager, he was appointed Head of Treasury, first in Comau and subsequently in Iveco. 
In 2011 he became Group Treasurer for the FCA group.
He was born in Vicenza (Italy), was born in 1961
, and graduated in Economics and Business at Turin University.

Board of statutory auditors

The Board of Statutory Auditors consist of three standing members and two alternates, appointed for a period of three years.
The Board of Statutory Auditors is assigned the duties as set out in the first paragraph of art. 2403 of the Italian Civil Code.
The current Board of Statutory Auditors was appointed by the Ordinary Shareholders' Meeting of 23 March 2023 for 2023/2025 and will end its mandate with approval of the financial statements relating to 2025.
